Terms and Conditions

Welcome to Skillmint, an online marketplace for Claude Skills and Claude Agents (the "Platform"). Skillmint is operated by AI Digital, a company incorporated in Romania under registration number 49856856("we", "us", "our").

By accessing or using the Skillmint website or any of our services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, please do not use the Platform. These Terms form a legally binding agreement between you and AI Digital.

We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes. Your continued use of the Platform after changes take effect constitutes your acceptance.

For the purposes of these Terms, the following definitions apply:

• "Platform" means the Skillmint website and associated services at skill-mint.com.
• "Publisher" means a registered user who lists, publishes, and sells Claude Skills or Agents.
• "Client" means a registered user who browses, purchases, and downloads Skills or Agents.
• "Skill / Agent" means a digital file containing a Claude Skill or Agent created by a Publisher.
• "Transaction" means a one-time purchase of a Skill or Agent facilitated by the Platform.
• "Content" means any text, code, files, descriptions, or materials submitted to the Platform.
• "Commission" means the fee (20–30%) retained by Skillmint from each Transaction.

You must be at least 18 years of age to register and use the Platform. By creating an account, you represent and warrant that:

• You are at least 18 years old and have legal capacity to enter into binding contracts;
• You are not located in a country subject to an embargo by the EU, Romania, or the United States;
• All information provided during registration is accurate, current, and complete.

Publishers must additionally be legally authorised to sell software or digital goods in their jurisdiction.

To access the Platform's full features, you must register for an account. You agree to:

• Provide accurate and truthful information during registration;
• Maintain the security and confidentiality of your account credentials;
• Notify us immediately at legal@skill-mint.com if you suspect unauthorised access;
• Accept responsibility for all activities that occur under your account.

5.1 Publishing Skills and Agents

By submitting a listing, you represent and warrant that:

• You are the original creator of the Skill/Agent or have full legal rights to sell it;
• The Skill/Agent does not infringe any third-party intellectual property rights;
• The Skill/Agent does not contain malicious code, spyware, backdoors, or harmful functionality;
• The Skill/Agent complies with Anthropic's usage policies and terms of service for Claude;
• All descriptions and documentation are accurate and not misleading.

5.2 Pricing and Commission

Publishers set their own prices. Skillmint retains a commission of 20–30% (inclusive of applicable taxes) of each completed Transaction. The exact rate is displayed in your Publisher Dashboard. Payouts are made via Stripe Connect or registered bank account on a rolling monthly cycle for all cleared Transactions.

5.3 Refunds and Disputes

Because Skills and Agents are digital downloads, all sales are final by default. Where a Skill is materially different from its description or contains malicious code, Clients may submit a dispute within 14 days of purchase. We reserve the right to process refunds and recover payouts already disbursed to the Publisher in such cases.

5.4 Publisher Conduct

Publishers must not:

• Artificially inflate ratings or reviews through fraudulent means;
• List the same Skill under multiple listings to circumvent policies;
• Contact Clients outside the Platform to redirect sales or circumvent the Commission;
• Publish Skills that violate any applicable law or regulation.

6.1 Purchases

Clients purchase Skills via a one-time payment through Stripe. Upon successful payment, Clients receive a secure download link. Previously purchased items can be re-downloaded from the Client Dashboard at any time.

6.2 Licence Grant

Upon purchase, the Publisher grants the Client a non-exclusive, non-transferable, personal licence to install and use the purchased Skill on their own Claude instance. This licence does not grant the right to:

• Resell, redistribute, sublicense, or share the Skill/Agent with third parties;
• Reverse engineer, decompile, or create derivative works;
• Use the Skill/Agent for any purpose that violates applicable law or Anthropic's policies.

All content on the Skillmint Platform — including website design, logos, trademarks, and Platform source code — is the property of AI Digital or its licensors and is protected by applicable intellectual property laws.

Publishers retain all IP rights to their Skills and Agents. By listing on the Platform, Publishers grant Skillmint a limited, non-exclusive, royalty-free licence to display, promote, and facilitate the sale of their listings.

If you believe content on the Platform infringes your IP rights, contact us at legal@skill-mint.com with details of the alleged infringement.

You agree not to use the Platform to:

• Violate any applicable law or regulation;
• Infringe any intellectual property or privacy rights of third parties;
• Transmit malware, viruses, or harmful code;
• Engage in fraudulent, deceptive, or misleading behaviour;
• Attempt to gain unauthorised access to the Platform or other users' accounts;
• Use automated tools (bots, scrapers) without our written consent;
• Publish Skills designed to violate Anthropic's Claude usage policies.

Payments are processed by Stripe, Inc.By making or receiving payments, you agree to Stripe's Terms of Service and Privacy Policy. Skillmint does not store full payment card details. All payments are made in the currency displayed at checkout. Prices are inclusive of any applicable VAT where required by law.

The Platform is provided "as is" and "as available" without warranties of any kind. To the fullest extent permitted by law, AI Digital disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent permitted by law, AI Digital shall not be liable for any indirect, incidental, special, or consequential damages. Our total liability to you for any claim shall not exceed the greater of (a) fees you paid in the preceding 12 months or (b) EUR 100.

You agree to indemnify and hold harmless AI Digital, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Platform, your Content, or your violation of these Terms.

We may suspend or terminate your account at our sole discretion, with or without cause, and with or without notice. Upon termination: (a) your access ceases immediately; (b) Clients retain download access for 30 days post-termination; (c) Publishers receive outstanding payouts within the standard cycle.

You may terminate your account at any time by contacting legal@skill-mint.com.

These Terms are governed by and construed in accordance with the laws of Romania, without regard to its conflict-of-law provisions. Romanian courts shall have exclusive jurisdiction over any dispute.

Before initiating legal proceedings, you agree to attempt informal resolution by contacting us at legal@skill-mint.com. We will attempt to resolve disputes within 30 days.

We may update these Terms at any time. Material changes will be communicated via email or a prominent Platform notice at least 14 days before taking effect. Your continued use after the effective date constitutes acceptance.
